Terms of Service

These Terms of Service ("Terms") govern your access to and use of the VaidyaAI clinical decision support platform ("Service") operated by Team Vaidya ("VaidyaAI," "we," "us," or "our").

1. Acceptance of Terms

By accessing or using VaidyaAI, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

Binding Agreement: These Terms constitute a legally binding agreement between you (the "User" or "Subscriber") and VaidyaAI. Your use of the Service signifies your acceptance of these Terms.

2. Eligibility

2.1 Licensed Medical Professionals Only

VaidyaAI is intended exclusively for use by:

• Licensed medical doctors (MBBS, MD, MS, or equivalent)
• Registered medical practitioners with valid registration from Medical Council of India (MCI) or State Medical Councils
• Healthcare facilities (clinics, hospitals, diagnostic centers) authorized to practice medicine in India

2.2 Age Requirement

You must be at least 18 years of age to use this Service.

2.3 Geographic Limitation

VaidyaAI is designed for use in India and complies with Indian medical regulations. Use outside India is at your own risk and subject to local laws.

3. Account Registration and Security

3.1 Account Creation

To use VaidyaAI, you must:

• Provide accurate, complete, and current information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3.2 Account Credentials

• Username/Email: Must be a valid professional email address
• Password: Minimum 8 characters with strong encryption
• Medical Registration Number: Valid MCI or State Medical Council registration

3.3 Prohibited Sharing

You may NOT:

• Share your account credentials with unauthorized persons
• Allow non-medical personnel to access clinical features
• Use another person's account without permission
• Create multiple accounts to circumvent usage limits

4. Subscription Plans and Payment

4.1 Available Plans

VaidyaAI offers the following subscription tiers:

• ₹1 Trial: 7-day premium access (one-time, non-recurring)
• Basic Plan: ₹1,999/month - 100 patients, 500 prescriptions
• Pro Plan: ₹4,999/month - 500 patients, unlimited prescriptions
• Enterprise Plan: ₹9,999/month - Unlimited patients, dedicated support

4.2 Payment Terms

• All payments are processed securely through Razorpay
• Subscriptions are billed monthly in advance
• Prices are in Indian Rupees (INR) and include applicable taxes (GST)
• Payment failures may result in service suspension after 3-day grace period

4.3 Refund Policy

• ₹1 Trial: Non-refundable
• Monthly Plans: Refund available within 7 days of initial subscription only (not applicable to renewals)
• Annual Plans: Pro-rated refund for unused months if cancelled within 30 days
• Service Issues: Full refund if service is unavailable for more than 72 consecutive hours (excluding scheduled maintenance)

4.4 Price Changes

We reserve the right to change pricing with 30 days' advance notice. Existing subscribers will be grandfathered at their current rate for 6 months.

4.5 Cancellation

You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of the current billing cycle. No partial refunds for mid-cycle cancellations.

5. Permitted Use

5.1 Clinical Decision Support

VaidyaAI may be used for:

• Analyzing prescriptions for drug interactions and safety
• Generating differential diagnoses based on symptoms
• Interpreting laboratory results with clinical correlations
• Creating evidence-based prescription templates
• Managing patient records and clinic workflows

5.2 Educational and Research Use

• Medical education and training (with appropriate disclaimers)
• Clinical research (with ethical approval and informed consent)
• Quality improvement initiatives in healthcare facilities

6. Prohibited Use

6.1 Unauthorized Medical Practice

• Diagnosing or treating patients without valid medical license
• Practicing medicine outside your area of expertise or licensure
• Prescribing controlled substances without proper authorization

6.2 Data Misuse

• Selling, sharing, or disclosing patient data to third parties
• Using patient information for marketing or commercial purposes
• Exporting patient data for unauthorized research

6.3 System Abuse

• Reverse engineering or decompiling our software
• Attempting to access unauthorized areas of the platform
• Introducing malware, viruses, or malicious code
• Overloading servers or conducting denial-of-service attacks
• Scraping or automated data extraction

6.4 Fraudulent Activity

• Creating fake accounts or providing false credentials
• Using stolen payment methods
• Manipulating usage metrics or analytics

7. Medical Disclaimer and Limitations

7.1 Not a Substitute for Medical Judgment

VaidyaAI is a TOOL to ASSIST healthcare professionals, NOT a replacement for:

• Professional medical judgment and clinical expertise
• Direct patient examination and assessment
• Laboratory confirmation and diagnostic testing
• Specialist consultations when indicated

7.2 AI Limitations

You acknowledge that:

• AI models may produce errors, inaccuracies, or incomplete information
• OCR accuracy is approximately 85% - always verify extracted prescription data
• Drug interaction databases may not include all medications or combinations
• Differential diagnoses are suggestions, not definitive diagnoses
• AI cannot account for all patient-specific factors (allergies, comorbidities, social determinants)

7.3 Professional Responsibility

You, as the licensed medical professional, are solely responsible for:

• Verifying all AI-generated recommendations before implementation
• Making final clinical decisions based on your professional judgment
• Obtaining informed consent from patients
• Documenting clinical reasoning in patient records
• Adhering to medical ethics and professional standards

7.4 No Guarantee of Outcomes

We do NOT guarantee:

• Accuracy or completeness of AI-generated recommendations
• Detection of all prescription errors or drug interactions
• Positive patient outcomes from using our Service
• Compliance with all medical guidelines or protocols

8. Intellectual Property Rights

8.1 VaidyaAI Ownership

VaidyaAI and all related content, features, and functionality are owned by Team Vaidya and protected by:

• Copyright laws (Copyright Act, 1957)
• Trademark laws (Trade Marks Act, 1999)
• Patent rights (Patents Act, 1970)
• Trade secret protections

8.2 Your Data

You retain ownership of:

• Patient health information you input into the system
• Clinical notes and documentation you create
• Prescription data generated by your practice

However, you grant VaidyaAI a non-exclusive, worldwide license to use, process, and analyze this data (in anonymized/aggregated form) for:

• Improving AI models and algorithms
• Medical research and publication
• Regulatory compliance and reporting

8.3 Restrictions

You may NOT:

• Copy, modify, or create derivative works from VaidyaAI
• Remove or alter copyright notices or branding
• Use VaidyaAI trademarks without written permission
• Claim ownership of any VaidyaAI intellectual property

9. Data Privacy and Security

9.1 Our Obligations

VaidyaAI commits to:

• Encrypt all data in transit (TLS 1.3) and at rest (AES-256)
• Implement role-based access controls and multi-factor authentication
• Conduct regular security audits and penetration testing
• Maintain ISO 27001 certified infrastructure
• Notify you of data breaches within 72 hours

9.2 Your Obligations

You must:

• Use strong passwords and enable two-factor authentication
• Restrict access to authorized personnel only
• Report security incidents or suspected breaches immediately
• Comply with applicable data protection laws (IT Act 2000, DPDPA 2023)

9.3 Data Breach Protocol

In the event of a data breach, we will:

• Notify affected users within 72 hours
• Provide details of compromised data
• Offer remediation steps and support
• Report to relevant authorities as required by law

10. Service Availability and Support

10.1 Uptime Guarantee

• Target Uptime: 99.5% monthly (excluding scheduled maintenance)
• Scheduled Maintenance: Announced 48 hours in advance, typically between 2 AM - 5 AM IST
• Emergency Maintenance: May occur without notice for critical security issues

10.2 Support Channels

• Email Support: vaidya07.ai@gmail.com (response within 24 hours)
• Priority Support (Pro/Enterprise): Response within 4 hours during business hours
• Knowledge Base: Self-service documentation and FAQs

10.3 Service Modifications

We reserve the right to:

• Modify, suspend, or discontinue features with 30 days' notice
• Update AI models and algorithms to improve performance
• Change system requirements or supported platforms

11. Liability and Indemnification

11.1 Limitation of Liability

WE ARE NOT LIABLE FOR:

• Medical malpractice or adverse patient outcomes
• Errors or inaccuracies in AI-generated recommendations
• Loss of patient data due to user error or third-party actions
• Business interruption or lost revenue
• Indirect, incidental, consequential, or punitive damages

11.2 Your Indemnification Obligation

You agree to indemnify, defend, and hold harmless VaidyaAI and its affiliates from any claims, damages, or expenses arising from:

• Your violation of these Terms or applicable laws
• Medical malpractice or negligence in patient care
• Unauthorized access to or disclosure of patient data
• Infringement of third-party intellectual property rights

11.3 Professional Liability Insurance

You are advised to maintain adequate professional liability (malpractice) insurance covering your use of clinical decision support tools.

12. Termination

12.1 Termination by You

You may terminate your account at any time by:

• Cancelling your subscription through the dashboard
• Contacting customer support
• Stopping payment (automatic termination after 30 days)

12.2 Termination by VaidyaAI

We may suspend or terminate your account immediately if:

• You violate these Terms or our Privacy Policy
• You engage in fraudulent or illegal activity
• You fail to pay subscription fees for 30 days
• You pose a security risk to our systems or other users
• We are required by law or court order

12.3 Effects of Termination

Upon termination:

• Your access to the Service will be immediately revoked
• You must cease all use of VaidyaAI software and branding
• You have 30 days to export your patient data
• We will retain data as required by law (7 years for medical records)
• No refunds for partial months or unused subscription periods (except as stated in Refund Policy)

13. Dispute Resolution

13.1 Informal Resolution

Before filing a legal claim, you agree to attempt informal resolution by contacting us at vaidya07.ai@gmail.com with a detailed description of the dispute.

13.2 Mediation

If informal resolution fails, disputes shall be submitted to mediation in Hyderabad, Telangana, India, before proceeding to arbitration or litigation.

13.3 Arbitration

Any disputes not resolved through mediation shall be settled by binding arbitration under the Arbitration and Conciliation Act, 1996. Arbitration shall be conducted in English in Hyderabad, Telangana.

13.4 Jurisdiction and Governing Law

These Terms are governed by the laws of India. Exclusive jurisdiction for any litigation lies with the courts in Hyderabad, Telangana.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy and HIPAA Compliance Statement, constitute the entire agreement between you and VaidyaAI.

14.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force.

14.3 Waiver

Failure to enforce any provision does not constitute a waiver of our rights.

14.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms to a successor entity in case of merger or acquisition.

14.5 Updates to Terms

We may update these Terms with 30 days' notice via email or platform notification. Continued use after the effective date constitutes acceptance of the updated Terms.
